CoinUnited.io Terms of Service

CoinUnited.io offers a platform for trading various Financial Instruments including Cryptocurrencies and other financial instruments, inclusive of futures services as specified in our Futures Services Agreement.

CoinUnited.io provides a digital wallet service ("Wallet") for Users to store their Cryptocurrencies.

CoinUnited.io is a digital asset exchange platform, facilitating the placement of orders and assisting in the order matching and settlement for buying or selling cryptocurrencies or related derivatives between users. CoinUnited.io merely matches the buy and sell orders from users and aids in implementing the users' intended orders. Except where explicitly mentioned in this Agreement, CoinUnited.io or its parent company does not act as a principal or other participants in the transactions. Neither CoinUnited.io nor its parent company is accountable for disputes among or between users concerning any transaction.

CoinUnited.io utilizes proprietary software and algorithms to automatically pair matching orders. Users will be notified by the platform once an order is executed. Orders, once matched, are executed and settled immediately. Only place an order if you are completely ready to finalize the transaction. You are allowed to cancel a preauthorized order by initiating the appropriate procedures through your account to close such open order.

We reserve the right to cancel or nullify trades in cases where:

(a)

the trade is a result of an identifiable disruption or malfunction in the execution, settlement, or communication system, which adversely impacts the integrity of the transaction;

(b)

we ascertain, at our sole discretion, that the trade appears fraudulent, manipulative, or disruptive to other users or the platform's operation;

(c)

the trade was executed from an account that has been compromised by unauthorized users, and we determine in good faith that canceling the trades would best serve the interests of the users or the platform;

(d)

we suspect, at our sole discretion, that your account activities or trading practices infringe upon these Terms;

(e)

the trade involves digital assets subject to regulatory scrutiny or are declared illegal by competent authorities;

(f)

the trade was executed at prices that deviate significantly from the prevailing market prices due to an apparent error in our systems or feeds;

(g)

there are substantial changes in the market conditions or the digital assets' value that could potentially jeopardize the platform's financial stability or reputation;

(h)

the trade involves digital assets that we have decided to delist or suspend from the platform;

(i)

the trade resulted from the misuse of the platform's features or non-compliance with the trading rules as specified by us from time to time.

As consideration for the Services, you agree to pay CoinUntied.io all applicable fees (the "Fees") as set forth on our website, or as otherwise communicated to you. These may include, but are not limited to, trading fees, funding fees, and any other fees associated with the use of the Services.

The Fees are subject to change at any time at our sole discretion. Changes to the Fees will not apply retroactively and will become effective immediately after they are posted on our website. Continued.io use of the Services after changes to the Fees constitutes your acceptance of the new Fees.

You are responsible for all charges, costs, expenses, and other fees related to your use of the Services. You are solely responsible for all taxes, fees, duties, and governmental assessments (and any interest, fines, or penalties thereon) imposed in connection with your use of the Services.

Unless otherwise provided, all Fees are payable in the digital currency or fiat currency specified. Fees are non-refundable, even if your access to the Services is suspended, limited, or terminated prematurely.

In the event of a dispute regarding any transaction conducted via the Services, you agree to resolve such dispute with us by looking at transaction logs and other records relative to the Services.

Access to CoinUnited.io Services: You acknowledge and agree that to use CoinUnited.io's services, you must have a compatible device, internet access, and a suitable telecommunications carrier. The maintenance and security of this equipment may influence the performance of CoinUnited.io services and it is your responsibility to ensure the equipment's functionality.

Internet Transmission Risks: You understand that there are inherent risks associated with the transmission of information over the internet, including disruptions, transmission errors, and security breaches. While we implement security measures to protect your information, we cannot guarantee the security of your data transmitted to CoinUnited.io.

CoinUnited.io will assign a unique set of User Credentials to every registered user of our site and platform. These credentials grant users access to their account. All users are required to promptly acknowledge receipt of these User Credentials to CoinUnited.io.

You understand and agree that the services and information provided by CoinUnited.io are not accessible to or usable by individuals or entities in jurisdictions where their provision or use would contravene applicable laws, or where we are not authorized to offer such services or information. Certain jurisdictions, including United States of America and all U.S.A. territories like Puerto Rico, American Samoa, Guam, Northern Mariana Island, and the US Virgin Islands (St. Croix, St. John and St. Thomas), Singapore, Canada (Quebec, Ontario), North Korea, Cuba, Iran, Crimea, Sevastopol, Sudan, Syria, Donetsk, Uzbekistan, Luhansk, Hong Kong, China, Seychelles and others, as we may decide from time to time, are exempt from our service provision (the “Excluded Jurisdictions”). Please inform us immediately if you become a resident in any of the Excluded Jurisdictions or if you are aware of any Clients based in these jurisdictions. False representation of your location or place of residence will lead to appropriate actions being taken, including account termination and liquidation of open positions, in compliance with local laws or restrictions. Services are also not offered to individuals or entities on sanctioned lists such as the U.S. Treasury Department’s List of Specially Designated Nationals, the EU’s Consolidated Financial Sanctions List, the UK Sanctions List, or others we may choose to add, or entities owned or controlled by those on such lists (“Prohibited Parties”). Violations of these restrictions may result in measures including account termination and liquidation of open positions.

Every user, along with their designated users, acknowledges that they have accepted these Terms. In registering any designated user for platform and account access, the primary user guarantees that the designated user is permitted to (i) access and utilize the platform on the primary user's behalf, exercising any powers granted to them, as feasibly possible with the platform's offerings and their existing powers of attorney; (ii) accept any modifications to these Terms on the primary user's behalf; and (iii) apply or subscribe to any platform services requiring separate application or subscription.

You must use the CoinUnited.io site or platform solely in accordance with these Terms, exclusively for your account or your internal business objectives. You are prohibited from selling, leasing, or providing access to the site or platform to any third party, and from acting as a service bureau or using the site or platform on behalf of any third party.

The CoinUnited.io site or platform must not be used in a manner, or to share information or content, or behave in a way that:

(a)

Is illegal, unauthorized or against the law;

(b)

Defames another individual;

(c)

Is indecent, sexually explicit or offensive;

(d)

Advertises or endorses any product or business;

(e)

Is likely to distress, bother, embarrass, unsettle or irritate any person;

(f)

Is likely to cause disruptions to the platform or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

(g)

Infringes on another's copyright, trademark, trade secret, or other proprietary rights;

(h)

Limits or prevents any other person from using the platform, including "hacking" or defacing any part of the platform;

(i)

Damages, disables, or alters the operation or appearance of the platform;

(j)

"Frames" or "mirrors" any part of the platform without our prior written authorization;

(k)

Utilizes any robot, spider, site search/retrieval application, or other manual or automatic device to download, retrieve, index, "data mine", "scrape", "harvest" or in any way reproduce or bypass the navigational structure or presentation of the platform or its contents;

(l)

Collects or harvests information about other users without their explicit consent;

(m)

Sends unsolicited or unauthorized ads, spam, or chain letters to other platform users;

(n)

Opens multiple accounts without explicit permission from the platform, except as otherwise permitted by CoinUnited.io in writing;

(o)

Conducts frequent, intense trading with unauthorized software or trading tools;

(p)

Transmits any content containing software viruses, or other harmful computer code, files or programs; or

(q)

Advocates, promotes, or assists any violence or illegal activity.

You understand and agree that the services and information provided by CoinUnited.io are not accessible to, or usable by individuals or entities in jurisdictions where their provision or use would violate applicable laws, or where we are not authorized to provide such services or information. CoinUnited.io reserves the right, at our discretion, to modify, delete, remove, or block any information that breaches these Terms, although we are not obligated to do so.

You are solely responsible for maintaining the confidentiality and security of your CoinUnited.io account credentials, including your username and password. Immediately inform CoinUnited.io if you detect any unauthorized activity on your account. Notwithstanding our prompt response to investigate and resolve your concerns, CoinUnited.io shall not be held accountable for any loss or damage due to unauthorized access to your account.

It is strictly prohibited to partake in activities that may compromise the security, integrity, or accessibility of CoinUnited.io services, such as unauthorized access to CoinUnited systems or data, disruption of services, or market manipulation.

CoinUnited.io, its affiliates, and its licensors own all rights, title, and interest in and to the website, platform, and services, including all related intellectual property rights. This includes, but is not limited to, trademarks, service marks, logos, brand names, domain names, and copyright-protected content, software, graphics, text, images, designs, databases, and other files. Your use of our services does not grant you any ownership rights or licenses to any of these elements.

You acknowledge that the CoinUnited.io platform and its entire contents, features, and functionality, including all information, software, code, text, graphics, logos, and all other related elements are owned by CoinUnited.io, its licensors, or other providers of such material and are protected in all forms by intellectual property laws including without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.

CoinUnited.io reserves all rights not expressly granted herein to the platform and the CoinUnited.io content. You agree not to copy, modify, distribute, sell, or lease any part of our platform or included software, nor may you reverse engineer or attempt to extract the source code of our software, unless laws prohibit these restrictions or you have our written permission.

Unauthorized use of the intellectual property of CoinUnited.io may violate copyright, trademark, and other laws. You agree to abide by and maintain all copyright notices, information, and restrictions contained in any CoinUnited.io content accessed through the services.

CoinUnited.io, the CoinUnited.io logos, and all other product or service names, logos, or slogans used by CoinUnited.io are trademarks of CoinUnited.io or its suppliers or licensors and may not be copied, imitated, or used, in whole or in part, without the prior written permission of CoinUnited.io or the applicable trademark holder.

CoinUnited.io may make available market information such as news reports, trading analysis, market commentary, pricing information, or other information relevant to the cryptocurrencies market ("Market Information"). This Market Information is provided on an as-is basis and for informational purposes only.

CoinUnited.io does not endorse or approve the Market Information, and we make it available to users for general informational purposes only. CoinUnited.io does not guarantee the accuracy, timeliness, completeness, or correct sequencing of the Market Information, or warrant any results from your use or reliance on the Market Information.

Market Information may quickly become unreliable for various reasons including, for example, changes in market conditions or economic circumstances. CoinUnited.io is not obligated to update any information or opinions contained in any Market Information, and we may discontinue offering Market Information at any time without notice.

You agree that any decision to purchase or sell cryptocurrencies is made solely by you, and that CoinUnited.io will not be liable for any loss or damage arising from your reliance on Market Information.

You are prohibited from disseminating the Market Information without the express written consent of CoinUnited.io. Any unauthorized use or distribution of Market Information is strictly prohibited and may result in termination of your access to the CoinUnited Services, among other legal consequences.

CoinUnited.io services involve transactions in digital currencies, which are speculative and involve significant risks. By using our services, you acknowledge and agree that:

You are aware of the inherent risks associated with digital currency transactions. These risks include but are not limited to price volatility, liquidity risk, legal and regulatory risks, cybersecurity risks, and risks associated with the technology underlying these digital currencies.

(b)

You assume all risks related to the use of CoinUnited.io services and digital currency transactions. CoinUnited.io is not liable for any loss that you may bear as a result of such transactions.

CoinUnited.io does not provide any investment advice or any advice on the buying or selling of digital currencies. All decisions to buy or sell digital currencies are made solely by you, and you should carefully consider your financial situation and risk tolerance before making any such decisions.

CoinUnited.io does not guarantee the continuous, uninterrupted or error-free operability of its services. There may be instances when the services are unavailable, including but not limited to system maintenance periods, high transaction volumes, or circumstances beyond our control.

The Platform and Site, and all their features, including third-party content, are provided on an "As Is" and "As Available" basis at your own risk. We make no guarantee of constant availability.

Using the Platform exposes you to certain risks including, but not limited to, disclosure of your information, system outages, unauthorized access or misuse, and loss or theft of your device used for accessing the Site or the Platform.

We may disable the use of the Site on devices with modified security features or on older devices that no longer meet technical requirements.

We expressly exclude all warranties, conditions, or terms related to quality, merchantability, fitness for purpose, or uninterrupted, error-free access.

We do not guarantee the accuracy or completeness of the information provided on the Platform.

By utilizing the Platform, users understand that:

(a)

CoinUnited.io is not obligated to fulfill any user requests for information or materials regarding any products and/or services; and

(b)

any materials provided are exclusively for the user and may not be redistributed without CoinUnited.io's written consent.

It's important to note that neither CoinUnited.io nor the Platform act as your investment advisor or fiduciary. We do not recommend, solicit, or advise on specific transactions or their suitability for you through any materials available on the Platform.

You understand that we are under no obligation to validate, correct, complete, or update any material presented on the Platform. Materials, including market data, price quotations, news, and research, might be generated by independent information providers. We do not guarantee the accuracy, completeness, or timely updates of these materials. You are advised to conduct further research, consult an investment advisor, and make investment decisions at your own risk. In the event of any technical difficulties affecting access to the Platform, we are under no obligation to notify you.

Electronic information regarding your digital assets balance and account status can be accessed on the Site at any time (subject to downtime). You have the ability to review all transactions, including pending orders, positions, deposits, and withdrawals, for the past year or any other timeframe set by CoinUnited.io. Additionally, you have the right to receive receipts or other evidence of transactions. While transaction history is not a valuation, you agree that errors may occur and such errors do not affect the actual transaction process and outcome. Unless we receive a written notice from you within three calendar days, any transaction listed in a statement or communicated to you will be considered authorized, accurate, approved, and confirmed by you.

Personal information will be collected, used, and processed in compliance with our Privacy Policy as part of the Platform usage. By registering and using the Site and Platform, you consent to the collection, use, and disclosure of your personal information in accordance with these Terms and our Privacy Policy.

You agree to provide accurate, current, and complete personal information and to promptly update this information to maintain its accuracy during this Agreement's term.

Please inform us promptly of any changes to your personal information. We reserve the right to suspend or terminate your Account, refuse future use of the Platform and Site, and subject you to civil liability or criminal prosecution if you provide inaccurate, untrue, incomplete, or outdated information.

You will comply with any requests from us for information, documents, and agreements relating to any transaction or your use of the Site or Platform. We may report this information to regulatory authorities as needed.

By using our services, you accept that communication will take place over unsecured networks. It is your responsibility to provide CoinUnited.io with accurate and up-to-date email addresses or phone numbers for us to send service notifications. If any communication returns as undeliverable, we reserve the right to restrict your access to the Platform until a valid email address is provided and confirmed. In case of multiple contact details, please specify your preferred method for receiving notifications.

You agree to receive updates about the App, Platform, your Account, and our Terms through service notifications, which you acknowledge serve as a valid notice in place of mailed or other forms of notice required by law.

You are responsible for monitoring your email account or phone number without expecting reminders or repeated notifications from CoinUnited.io. Report any unauthorized access or use of the Platform immediately.

The Services may contain links to third-party websites, applications, services, or resources (collectively, "Third-Party Services") that are not owned or controlled by CoinUntied.io.

CoinUntied.io does not endorse or assume any responsibility for any such Third-Party Services. If you access a Third-Party Service from the Services, you do so at your own risk, and you understand that these Terms and CoinUntied.io’s Privacy Policy do not apply to your use of such sites.

You expressly relieve CoinUntied.io from any and all liability arising from your use of any Third-Party Services. Additionally, your dealings with or participation in promotions of advertisers found on the Services, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers.

CoinUnited.io strives to maintain the availability of its platform at all times but does not guarantee continuous, uninterrupted or secure access to the platform, which may be affected by factors outside our control.

We reserve the right to suspend the operation of our platform, or any part of it, for routine or unscheduled maintenance and upgrades, or because of an emergency. We will give you as much notice as possible of any planned interruptions and will restore the service as soon as we reasonably can.

CoinUnited.io is not liable for any loss or damage arising, directly or indirectly, from any periods of non-availability of the platform, or any associated suspension of our services.

CoinUnited.io reserves the right to immediately suspend or terminate your access to the platform in whole or in part at any time, freeze or lock the Digital Assets or funds in all such accounts, if we suspect any such accounts to be in violation of these Terms, our Privacy Policy, or any applicable laws and regulations. We also reserve the right to keep and use the transaction data or other information related to such accounts.

CoinUnited.io, at its sole discretion, may limit, suspend, or terminate your access to the platform or the account, including terminating the account (or certain functionalities thereof such as uploading, receiving, sending, and/or withdrawing Digital Assets) for reasons including, but not limited to:

(a)

a need to protect the security of the account;

(b)

transactions made in breach of this Agreement or the security requirements of the account or transactions that appear suspicious, unauthorized, or fraudulent, including without limitation in relation to money laundering, terrorism financing, fraud, or other illegal activities;

(c)

information provided by you is untruthful, inaccurate, outdated, or incomplete;

(d)

there's a change in your circumstances (including a deterioration in or change to your financial position) which we consider, in our sole discretion, material to the continuation of the account;

(e)

there is a disruptive market event that triggers a trade halt;

(f)

the account is subject to a governmental proceeding, criminal investigation,or other pending litigation;

(g)

we are directed as such by any Governmental Authority or required to do so by applicable law.

CoinUnited.io is under no obligation to inform you of the reason for suspending, terminating, or freezing your account or any digital assets in your account.

CoinUnited.io may, in its absolute discretion and without prior notice, deem your account as a dormant account if there has been no activity for 6 consecutive months. In such cases, CoinUnited.io may close any open positions in any CoinUnited.io products, convert the Digital Assets to a different type of Digital Asset, and charge a dormant account fee to cover the cost of maintaining the assets. In addition, CoinUnited.io will receive $15 per month from the account's balance once it becomes dormant.

We reserve the right to amend, revise, or modify these Terms and Conditions at any time and at our sole discretion. Any amendments, revisions, or modifications will be effective immediately upon posting the updated Terms and Conditions on our website or upon notifying you by other means.

It is your responsibility to review the Terms and Conditions periodically. Your continued use of the Services following the posting of changes or modifications will confirm your acceptance of such changes or modifications.

If you do not agree to the amended Terms and Conditions, you must stop using our Services immediately.

Warranty disclaimer:

To the fullest extent permitted by applicable law, all services, materials, and any product, service or other item provided by or on behalf of CoinUnited.io are offered on an "as is" and "as available" basis. CoinUnited.io expressly disclaims, and you agree to relinquish, any and all other warranties of any kind, whether express or implied. This includes, without limitation, warranties of merchantability, fitness for a particular purpose, title or non-infringement or warranties arising from course of dealing or usage in trade. Except for the express statements, agreements, and rules laid out in these terms, you acknowledge and agree that you have not relied upon any other statement or agreement, whether written or oral, in relation to your use and access of CoinUnited.io services. CoinUnited.io will not be responsible for any losses or damages arising out of or related to numerous factors outlined in these terms. If the disclaimer of implied warranties is prohibited by the applicable law of your jurisdiction, it may not apply to you.

Disclaimer of damages and limitation of liability:

Under the maximum extent permitted by law, CoinUnited.io, its affiliates, and their respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers or contractors will not be held accountable for any indirect, incidental, special, punitive, consequential, or similar damages resulting from the use of CoinUnited.io services. The liability of CoinUnited.io and its affiliates, under any contract, statute, strict liability, or any other theory, will not exceed the greater of one hundred U.S. dollars (U.S. $1,000.00) or the amount of fees you have paid to CoinUnited.io in the six-month period immediately preceding the event leading to the claim for liability, unless such damages were a result of CoinUnited.io's gross negligence, fraud, or intentional violation of the law.

Indemnification

You agree to indemnify and hold CoinUnited.io operators, their affiliates, contractors, licensors, and their respective directors, officers, employees, and agents harmless from any claims, actions, proceedings, investigations, demands, suits, costs, expenses, and damages (including attorney's fees, fines, or penalties imposed by any regulatory authority) arising out of or related to your use of CoinUnited.io services, your breach of these terms, or your violation of any applicable law, regulation, or rights of any third party during your use of CoinUnited.io services. If you are obligated to indemnify CoinUnited.io operators and their affiliates, CoinUnited.io reserves the right to control any action or proceeding and decide whether to settle and if so, under what terms.

CoinUnited.io may from time to time introduce promotions, bonuses, contests, or similar activities ("Promotions") which will be governed by specific terms and conditions. These terms and conditions may be separate from, or in addition to, these Terms of Use.

You agree to participate in such Promotions in good faith, and not to abuse any mechanics of such Promotions. CoinUnited.io reserves the right to disqualify any user from a Promotion if it determines, in its sole discretion, that the user is attempting to manipulate the rules or operation of the Promotion.

Any rewards or benefits received from a Promotion are subject to review and may be subject to restrictions or limitations at CoinUnited.io's discretion.26.4. CoinUnited.io reserves the right to withdraw or amend any Promotion at any time without prior notice.
